1. In accordance with the state to state Loan Agreement between Ministry of Finance of P.R. China and KfW for Hengshui Lake Conservation and Management Project. CMC International Tendering Co., Ltd. (Hereinafter referred to as “Tendering Agent ”) entrusted by Hebei Hengshui Lake National Nature Reserve Management Committee (Herein after referred to as “Employer”) now invites sealed Bids from eligible Bidders for the design and construction of the project. The Employer intends to apply all the proceeds of this loan to eligible payments under the Design and Construction Contract for which this Bidding Document is issued.

根据中国财政部与KfW为衡水湖湿地保护与管理项目签订的国家间贷款协议,中机国际招标有限公司（以下称“招标代理”）受河北衡水湖国家级自然保护区管理委员会（以下称“发包人”）

的委托，现在邀请有资格提供项目设计和施工的投标人参与投标。发包人拟利用贷款支付本招标文件下的设计和施工合同的付款。

2. We hereby invite: The Design Institution or Construction Organization registered and operated from within the People’s Republic of China and all countries which have regular trade relations with PRC to participate in the Bid. Design and construction financed under Sino-German Financial Cooperation Credit Loan shall be tendered and contracted as one contract with a successful Contractor. Any local or third countries goods and services shall be included in this tendering whether in this Contract or in Supplies or Sub-contracts, with the successful Contractor being responsible towards the Tendering Agent.

3. A consortium as the Bidder is accepted.

4. The Bid will be conducted through the International Competitive Bid.

本次招标为国际竞争性招标。

5. The Bidder shall qualify with the following requirements:

投标人必须满足：

(1)The Bidder is legal person or other organization that has purchased the bidding documents from the Tenderee or the Tendering Agent, and participated in the bid. Any legal person or organization that has not purchased the bidding documents from the Tenderee or the Tendering Agent is not allowed to participate in the bid.

投标人是响应招标、已在招标人或招标机构处领购招标文件并参加投标竞争的法人或其他

组织。任何未在招标人或招标机构处领购招标文件的法人或其他组织均不得参加投标。

(2) This Invitation for Bids is open to all legal persons or other organizations from within the People’s Republic of China (hereinafter abb. as “PRC”) and all countries/areas which have regular trade relations with PRC (hereinafter called “the eligible source countries/areas”), except as provided hereinafter.

除非另有规定，凡是来自中华人民共和国或是与中华人民共和国有正常贸易往来的国家或地区

(以下简称“合格来源国/地区”)的供货人均可投标。

(3) Any legal person or other organization that has conflict of interest with the Employer and may have impact on fairness of the bidding is not allowed to participate in the bid.

与招标人存在利害关系可能影响招标公正性的法人或其他组织不得参加投标。

(4) Any legal person or other organization that has been entrusted to provide consulting service at the preliminary stage of the project or to prepare the bidding document is not allowed to participate in the bid, nor to prepare bid documents or provide consulting service to the Bidder.

接受委托参与项目前期咨询和招标文件编制的法人或其他组织不得参加受托项目的投标，也不

得为该项目的投标人编制投标文件或者提供咨询。

(5) Different bidders that have the same person in charge or have the relationship of share-holding or management should not participate in the bids for the same package, except for the case to form a joint venture to bid.

单位负责人为同一人或者存在控股、管理关系的不同单位，不得参加同一招标项目投标，共同

组成联合体投标的除外。

(6) The Bidder may participate in the bids only if they are legally and financially autonomous, if they operate under relevant law, and if they are not a dependent agency of the Employer or the Tender Agent.

只有在法律上和财务上独立、合法运作并独立于发包人和招标机构的投标人才能参加投标。

(7) The Bidder shall successfully complete registration on www.china-tender.com.cn, www.cebpubservice.com, five (5) days when obtaining bidding documents from Tendering Agent. Otherwise, the bidders can’t enter into bidding procedures, and any consequence arisen thereafter shall be borne by bidders.

投标人自招标代理机构处获得招标文件后5日内应在中国通用招标网，中国招标投标公共

服务平台上成功注册，否则，投标人将不能进入招标程序，由此产生的任何后果均由投标

人承担。

(8) Within three years before the tender, the bidder has no major illegal record in the business activities.

参加本项目投标前三年内，投标人在经营活动中没有重大违法记录。

(9) Two or more than two legal persons do not participate in the bid at the same time when they have same legal representative.

投标人法定代表人为同一个人的两个及两个以上法人不得同时参加投标。

(10) The bidder shall have a sound quality assurance system and pass Environmental, Social, Health and Safety (ESHS) Qualification.

投标人须具有完善的质量保证体系，并通过环境、社会、健康和安全资格认证。

(11) Submission of audited financial statements or, if not required by the law of the Bidder’s country, other financial statements acceptable to the Employer, for the last three (3) years（2016/2017/2018） to demonstrate the current soundness of the Bidder’s financial position. As a minimum, the Bidder's net worth for 2018, calculated as the difference between total assets and total liabilities should be positive.

递交过去3年(2016/2017/2018年)的经审计的财务报表或申请人国家法律不要求时买方能接受的其他财务报表，以反映投标人现在财务状况的稳定性。作为最低要求，投标人2018年总资产和总负债的差额，即净资产应为正值。

(12) The registered capital of the domestic Bidder shall be not less than CNY 10 million, and that an equity of EUR 1 million or above from foreign Bidder

境内投标人的注册资本不少于1000万元人民币，境外投标人的股权不少于100万欧元。

(13) Minimum average annual construction turnover of EUR 5 million or the equivalent of EUR 5 million, calculated as total certified payments received for contracts in progress or completed, within the last three (3) years(2016/2017/2018). The source of exchange rate shall be the Selling Exchange rate issued by the Bank of China on the time of publishing Bid.

过去3年里(2016/2017/2018年)，已完成或正在实施的合同已收到的付款额计算的最低年均营业额应达到500万欧元，或相当于500万欧元。汇率按发布公告日中国银行发布的卖出价折算。

(14) Submission of Credit certificates issued by national commercial banks, city commercial banks or policy banks three months before the deadline for bidding.

(15)The Bidder must demonstrate that it has access to or availability of financial resources such as liquid assets, unencumbered real assets, lines of credit, and other financial means, other than contractual advance payments to meet the following cash flow requirement is at least: EUR 3000000.00 equivalents.

(16) Availability of a valid ISO certification or internationally recognized equivalent (equivalency to be demonstrated by Applicant):

(17) All pending litigation and arbitration, if any, shall be treated as resolved against the Bidder and so shall in total not represent more than fifty percent (50%) of the Bidder’s net worth calculated as the difference between total assets and total liabilities.

(18) A. Bidders shall also have the qualification of Grade B or above in engineering design and water conservancy industry, Grade B or above in landscape architecture engineering design, Grade B or above in general contracting of water conservancy and Hydropower projects, Grade C or above in general contracting of construction projects, and an independent legislator with a safety production license issued by the construction administrative department at or above the provincial level, Bidders outside China have the same qualifications.

投标人须同时具有工程设计水利行业专业乙级及以上资质、风景园林工程设计专项乙级及以上资质、水利水电工程施工总承包贰级及以上资质、建筑工程施工总承包叁级及以上资质，且具有省级及以上建设行政主管部门颁发的安全生产许可证的独立法人，中国境外投标人具有同等的资质。

B. Bid of a joint-venture will be acceptable, but shall meet the following requirements:

The design company shall have the qualification of Grade B or above in engineering design and water conservancy industry, Grade B or above in landscape architecture engineering design ; The construction company shall have Grade B or above in general contracting of water conservancy and Hydropower projects，the qualification of Grade C or above in general contracting of construction projects, and an independent legislator with a safety production license issued by the construction administrative department at or above the provincial level, And the design company acts as the leader of the consortium.

The number of members of the joint-venture shall not exceed 2, and the joint-venture shall meet the relevant tender regulations and requirements, and submitted a joint-venture agreement, clear the rights and obligations of the joint-venture leaders and parties. The parties to the joint-venture may not, in their own name, participate in the same contract section individually or in any other joint-venture.

本次招标接受联合体投标，但应满足下列要求：设计公司应具有工程设计水利行业专业乙级及以上资质、风景园林工程设计专项乙级及以上资质；建筑公司应具有水利水电工程施工总承包贰级及以上资、建筑工程施工总承包叁级及以上资质，且具有省级及以上建设行政主管部门颁发的安全生产许可证，且设计公司作为联合体牵头人。

联合体成员家数不超过2家，联合体需符合有关联合体投标的规定和要求，并提交了联合体协议，明确联合体牵头人和各方权利义务。联合体各方不得再以自己的名义单独或参加其他联合体在同一合同段中投标。

C. The person in charge of the project shall be the person (s) of the bidder (If it is a joint-venture bid, it must be the person who is in leader party) and with engineers or above titles or equivalent, the above staff are the official registration of the company.

项目负责人须为投标人本单位全职人员（若为联合体投标，须为联合体牵头单位本单位全职人员）, 具有工程师或以上职称或相当于。

The person of group shall be the engineers or above titles; and shall be the official registration of the Bidder.

团队人员具有工程师及以上职称；为本单位正式人员。

D. In the past five years starting 1st January,2014, at least two similar projects have been completed in the design of the project; at least one similar projects have been completed in the construction.

过去5年里（自2014年1月1日起），至少完成2个类似项目合同的设计，至少完成1个类似项目合同的建设。

The invitations for bids will publish in “German Trade and Invest” (www.gtai.de), www.cebpubservice.com, and www.china-tender.com.cn .

Tendering Agent provides electronic and paper-based tender documents to successful payment potential bidders. The document costs 3800 yuan or $650 or 500 euros.

After completing the purchase application on China General tendering Network, bidders can download the bidding documents after payment is completed in accordance with the instructions.

(3) The paper Bidding Documents will be delivered by EMS after the end of the obtaining period. Tendering Agent and Employer are not liable for late or missing documents during the mailing process.

纸质版招标文件在发售期结束后通过中国邮政特快专递邮寄，对于邮寄过程中出 现的文件迟到或丢失，招标代理和招标人不承担任何责任。

8. The Bidder shall furnish as part of its Bid, a Bid Security with an amount comply with request and valid for a period of 180 days as from the Bid Opening Date.

投标人应提交一份满足金额要求及有效期为自开标之日起180天的投标保函作为其投标的一部分。

9. Bids must be delivered to the address below at or before November 7th, 2019, 9:30 am (Beijing Time). Late Bids will be rejected. Bid opening will be made publicly at the following address. The Bidder may send a representative to participate in the bid opening. The Bids must contain a required Bid Security.
